Process and fees
How a mandate runs from the first conversation to the first drawdown, what each type of mandate costs, and what we need from you to start.
Timetable
Typical timings for a cash-flow or asset-based facility when the information is ready. Real estate bridges can be quicker; cross-border facilities take longer.
Diagnose
We review accounts, forecasts, collateral and use of proceeds, decide whether the credit can be financed and with which instrument, and agree the mandate in writing.
Prepare
We write the credit memo, build the lender model, prepare an anonymous teaser and set up the data room.
Approach lenders
Lenders on a shortlist agreed with you sign an NDA and receive the memo, a timetable and a bid template, so offers arrive in a comparable format.
Negotiate
We compare term sheets line by line, run a second round where useful, and negotiate leverage, margin, fees, covenants, security and prepayment terms.
Close and draw
We coordinate due diligence, valuations, legal documents and conditions precedent with the lawyers on both sides until the first drawdown.
Fees
Fees are agreed in writing before we start. If a lender pays us a commission or arrangement fee, we tell you before you accept the facility.
